Terms of Service & Conditions

These Terms of Service govern all digital interfaces, commercial procurement contracts, RFQ bidding systems, and liaison operations executed by Cleocy Nigeria Limited (RC: 1953806). Please review these terms with maximum legal diligence.

1. Binding Agreement & Scope

These Terms of Service (hereinafter "Terms" or "Agreement") constitute a legally binding corporate contract between Cleocy Nigeria Limited ("the Company," "Cleocy," "we," "us," or "our"), an indigenous engineering contractor incorporated under corporate laws of Nigeria with RC Number: 1953806 and TIN: 24288163-0001, and all corporate entities, public administrators, commercial clients, or system users ("Client," "User," "you," or "your") accessing our portal or procurement pathways.

By navigating our web portal, submitting drawing specifications, requesting mobilization rates, or executing commercial transactions with our HQ in Port Harcourt, Imo State branches, or USA sourcing networks, you explicitly accept this Agreement. If you represent a corporate entity, you certify that you hold the legal authority to bind said entity to these precise covenants.

2. Corporate Standing & Joint-Venture Audits

Cleocy Nigeria Limited operates in strict compliance with the local content requirements established by the Nigerian Oil and Gas Industry Content Development (NOGICD) Act 2010.

Our system provides direct links, tender interfaces, and verification support regarding our active status as a registered supplier on the National Electronic Marketplace (NipeX). Any attempt to upload fraudulent registration coordinates, impersonate joint-venture auditors, or tamper with corporate verification seals will trigger immediate legal prosecution and reporting to the appropriate regulatory committees.

3. Intellectual Property

Unless specified otherwise under formal engineering execution contracts, all proprietary assets displayed on this portal, including but not limited to vector layouts, logo configurations, custom ISO circles, interactive Bento Grid mechanical code, branding elements, Quality Management System (QMS) frameworks, and safety indicators, are the sole intellectual property of Cleocy Nigeria Limited.

Clients retain complete ownership of CAD models, pipeline drawings, medical catalogues, or ship chandling load manifests uploaded to our systems. By submitting these items, however, you grant us an exclusive, royalty-free, localized license to copy, analyze, and distribute these drawings strictly within our internal Project Execution Teams (PETs) and manufacturing networks to formulate procurement pricing and delivery timelines.

4. RFQ Portal & PET Reference Rules

Our digital "Bid Portal" enables authorized companies to upload procurement specifications. All users of our RFQ portal explicitly agree to the following terms:

  • Submission Validity: You agree that all uploaded CAD drawings, medical lists, and supply schedules are accurate, legally owned by your organization, and contain legitimate, commercial procurement intent.
  • Reference Issuance: Upon successful submission, our system generates a unique Project Execution Team reference (e.g. PET-RFQ-26-XXXX). This reference constitutes an administrative receipt only and does not establish a binding commercial contract.
  • Offer Period: All proposals generated by our PETs based on portal uploads are valid for thirty (30) calendar days from issuance, unless specified otherwise in writing by a Cleocy Director.

5. HSE Safety & Zero-Tolerance Policies

Safety constitutes our primary operational pillar. We strictly enforce our 11 Safety Pillars and target a zero Lost Time Injury (LTI) rate across all physical work sites:

Zero-Tolerance Mandate

We operate a strict, legally binding Zero-Tolerance policy regarding (1) drug and alcohol possession on company or operator sites, (2) environmental dumping inside rivers, creeks, or terrestrial locations, and (3) non-compliance with Community Relations Liaison (CLO) covenants. Any violation of these codes will lead to immediate contract termination without liability to the company.

6. USA Sourcing Liaison Operations

To secure Tier-1 certified equipment and specialized medical supplies, Cleocy coordinates sourcing via our authorized USA Sourcing Liaison Office located at:

14048 Ridge Point Court, Savage, Minnesota 55378-2175, USA.

All cross-border procurement orders routing through our USA Liaison Office are subject to international custom rules, Export Administration Regulations (EAR), and standard shipping terms (Incoterms 2020). Cleocy coordinates all clearing, logistics, and port delivery directly to HQ or the client site under our QMS tracing program.

7. Indemnification & Limitation of Liability

To the maximum extent permitted by law, Cleocy Nigeria Limited, its Directors, operational staff, PET directors, and liaison officers shall not be held liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, delay in oilfield mobilization, logistics delays due to customs at ports, or terrestrial security disruptions, arising out of or in connection with the use of this portal or the performance of procurement services.

You agree to fully indemnify, defend, and hold harmless Cleocy Nigeria Limited from and against any claims, losses, environmental liabilities, LTI incidents, or administrative fines resulting from fraudulent technical data or custom specifications uploaded by your team.

8. Governing Law & Jurisdictions

These Terms, their interpretation, and any commercial disputes arising directly or indirectly from our operational activities shall be governed by, construed, and enforced in absolute accordance with the Laws of the Federal Republic of Nigeria.

Any legal actions, arbitration proceedings, or court litigation connected to Cleocy Nigeria Limited shall be submitted exclusively to the jurisdiction of the High Court of Rivers State, sitting in Port Harcourt, Nigeria. Users of this platform and contracting clients explicitly waive any rights to challenge this venue on the grounds of inconvenient forum or localized jurisdiction.
